ClothME Brand Partner Terms of Service

1. About ClothME

ClothME is a customer growth platform that helps fashion brands acquire customers, reduce fit-related returns, and grow sales across online and in-store channels.

ClothME provides tools including personalized Fit Profiles, local discovery, creator collaborations, product discovery, customer insights, and ecommerce integrations to help brands connect with shoppers.

ClothME is not the manufacturer or seller of your products and does not take ownership of inventory.

2. Eligibility

To participate, you must:

• Operate a legitimate fashion business.
• Be legally authorized to sell your products.
• Have authority to enter into this agreement.
• Provide accurate business information.
• Comply with all applicable laws and regulations.

3. Brand Responsibilities

You agree to:

• Maintain accurate product information.
• Provide accurate pricing.
• Maintain sufficient inventory.
• Fulfill customer orders promptly.
• Handle exchanges and returns according to your published policies.
• Maintain all required business licenses and permits.
• Provide responsive customer service for orders fulfilled by your business.

You are solely responsible for the products you sell.

4. Product Listings

You grant ClothME permission to display:

• Product images
• Descriptions
• Pricing
• Sizes
• Colors
• Brand logos
• Marketing materials you provide

You represent that you own or have permission to use all content submitted to ClothME.

5. Shopify & Ecommerce Integrations

Where available, you may connect your ecommerce platform (such as Shopify) to synchronize product information, inventory, and pricing.

You are responsible for ensuring your integrations remain accurate and functional.

6. Orders

Depending on the services you choose, orders may be fulfilled:

• Through your ecommerce platform
• Through your retail location
• Through future ClothME-supported fulfillment methods

You remain responsible for order fulfillment, customer service, shipping, taxes, and compliance with applicable consumer protection laws.

7. Commission

ClothME operates on a performance-based commission model.

There are:

• No setup fees
• No subscription fees
• No listing fees

A commission is payable only when ClothME directly generates a qualifying sale.

Applicable commission rates will be communicated separately and may vary depending on partnership agreements or promotional programs.

8. Payments

Commissions will be calculated based on qualifying transactions generated through ClothME.

Payment schedules, reporting, and settlement methods will be communicated separately.

You are responsible for providing accurate payment information.

9. Returns, Exchanges & Refunds

Brands remain responsible for:

• Return policies
• Exchanges
• Refund processing
• Warranty obligations
• Customer support

If a qualifying sale is refunded or cancelled, ClothME reserves the right to adjust any associated commission in accordance with the applicable commission policy.

10. Creator Campaigns

Brands may choose to participate in creator collaborations and promotional campaigns offered through ClothME.

Campaign participation is voluntary unless otherwise agreed in writing.

ClothME may facilitate introductions, campaign management, and performance reporting but does not guarantee campaign results.

11. Customer Data

ClothME respects customer privacy.

Brands receive customer information only to the extent necessary to fulfill orders, provide customer service, and comply with applicable laws.

Customer information may not be sold, shared, or used outside the purposes permitted by law and these Terms.

12. Analytics

ClothME may provide analytics including:

• Sales performance
• Product engagement
• Fit insights
• Customer trends
• Campaign performance

These analytics are provided to assist business decision-making and may include aggregated or anonymized data.

13. Intellectual Property

Each party retains ownership of its trademarks, logos, copyrights, and other intellectual property.

You grant ClothME a non-exclusive, worldwide, royalty-free license to use your brand assets solely to promote your products and participation on the platform.

This license ends when your participation ends, except where content has already been used in completed marketing materials or legal records.

14. Prohibited Activities

You agree not to:

• Submit false or misleading information.
• Infringe another party's intellectual property rights.
• Manipulate pricing or inventory.
• Attempt to interfere with the operation or security of the platform.
• Engage in fraudulent, deceptive, or unlawful conduct.

15. Suspension or Termination

ClothME may suspend or terminate your account if you:

• Violate these Terms.
• Engage in fraud or illegal activity.
• Repeatedly fail to fulfill customer orders.
• Damage the integrity of the platform or customer experience.

You may terminate your participation at any time by providing written notice, subject to completion of any outstanding obligations.

16. Disclaimer

ClothME provides its platform on an "as is" and "as available" basis.

While we strive to help brands grow, we do not guarantee any minimum level of sales, customer traffic, revenue, campaign performance, or business outcomes.

17. Limitation of Liability

To the fullest extent permitted by law, ClothME will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or business interruption arising from your use of the platform.

Our total liability under these Terms shall not exceed the total commissions paid by you to ClothME during the twelve (12) months preceding the event giving rise to the claim.

18. Indemnification

You agree to indemnify and hold harmless ClothME and its officers, employees, contractors, and affiliates from claims, damages, liabilities, and expenses arising from:

• Your products
• Product defects
• Product descriptions
• Intellectual property infringement
• Your violation of these Terms
• Your violation of applicable law

19. Modifications

We may update these Terms from time to time.

Material changes will be communicated through the platform or by email before taking effect where required by law.

Continued participation after the effective date of revised Terms constitutes acceptance of those changes.

20. Governing Law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes shall be resolved in the courts located in British Columbia, unless otherwise required by applicable law.
